These Terms of Service constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you,” “user,” or “your”), and Praevue (“Praevue,” “Company,” “we,” “us,” or “our”) concerning your access to and use of https://praevue.com, https://app.praevue.com, any related web application, mobile application, software, services, content, features, tools, dashboards, reports, scenario modeling tools, artificial intelligence features, and any other services connected to Praevue.

By accessing or using Praevue, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with all of these Terms of Service, you are expressly prohibited from using Praevue and must discontinue use immediately.

Praevue may update these Terms of Service from time to time. We may notify users by updating the “Last updated” date on this page or by providing additional notice when required. Your continued use of Praevue after any changes are posted means that you accept the revised Terms of Service.

2. Eligibility

Praevue is intended for users who are at least 18 years old. By using Praevue, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms of Service.

If you are using Praevue on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms of Service.

3. Description of Services

Praevue provides technology tools for market research, financial scenario modeling, options strategy analysis, AI-assisted research, portfolio-related insights, comparison tools, alerts, reporting, and educational information.

Praevue may allow users to create, save, compare, export, and review hypothetical market scenarios based on user inputs, third-party data, historical information, assumptions, algorithms, artificial intelligence models, and automated calculations.

Praevue is a software and analytics platform only. Praevue does not execute trades, hold customer funds, provide brokerage services, manage investment accounts, or act as a financial advisor.

4. No Financial, Investment, Legal, or Tax Advice

Praevue is not a registered investment adviser, broker-dealer, financial planner, fiduciary, tax adviser, accounting firm, or law firm.

Nothing on Praevue, including any scenario, report, probability estimate, forecast, AI-generated output, alert, chart, comparison, strategy summary, educational content, or platform recommendation, should be interpreted as financial advice, investment advice, trading advice, tax advice, legal advice, accounting advice, or a recommendation to buy, sell, hold, or trade any security, option, cryptocurrency, derivative, or financial instrument.

All information provided through Praevue is for informational, educational, and research purposes only.

You are solely responsible for your own financial, investment, trading, tax, legal, and business decisions. You should consult a qualified financial advisor, broker, tax professional, or legal professional before making any financial decisions.

5. No Promise of Outcomes

Praevue does not promise, guarantee, or represent that any scenario, model, forecast, strategy, probability estimate, AI-generated insight, report, alert, or calculation will be accurate, profitable, reliable, complete, or suitable for your personal financial situation.

Praevue does not guarantee any investment outcome, trading result, return, profit, risk reduction, portfolio performance, or market result.

Past performance does not guarantee future results. Hypothetical performance, backtesting, probability modeling, and scenario simulations are not guarantees of actual future performance.

All investments and trading strategies involve risk, including the possible loss of principal.

6. Options and Market Risk

Options, derivatives, equities, ETFs, cryptocurrencies, and other financial instruments may involve significant risk and may not be suitable for all users.

Options trading can involve complex risks, including market risk, liquidity risk, volatility risk, assignment risk, margin risk, time decay, execution risk, and the risk of losing more than the initial investment in certain strategies.

Praevue’s tools may help users visualize potential outcomes, but they do not remove risk and should not be used as the sole basis for any investment or trading decision.

7. AI-Generated Content and Model Limitations

Praevue may use artificial intelligence, machine learning models, automated reasoning systems, statistical models, third-party APIs, and algorithmic tools to generate summaries, scenarios, probabilities, alerts, reports, explanations, comparisons, and other outputs.

AI-generated content may be inaccurate, incomplete, outdated, misleading, biased, or unsuitable for your circumstances. AI outputs may misunderstand user inputs, market context, financial terminology, or external data.

You are responsible for reviewing, validating, and independently verifying all outputs before relying on them.

Praevue does not guarantee that AI-generated content is correct, complete, current, or appropriate for your intended use.

8. User Accounts and Registration

You may be required to create an account to access certain Praevue features. You agree to provide accurate, current, and complete information when creating your account and to update your information as needed.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify Praevue immediately if you believe your account has been accessed without authorization.

Praevue reserves the right to suspend, restrict, or terminate any account if we believe the account has violated these Terms of Service, created risk for Praevue or other users, or used the platform in an unauthorized manner.

9. Subscriptions, Billing, and Payments

Certain Praevue features may be offered through paid subscriptions, memberships, trials, or one-time purchases.

By purchasing a paid plan, you authorize Praevue and its payment processors to charge your selected payment method for applicable fees, taxes, renewals, and other charges.

Unless otherwise stated, subscriptions may renew automatically until cancelled. You are responsible for cancelling your subscription before the renewal date if you do not wish to continue.

Praevue may change pricing, plans, or features at any time. Any changes will apply in accordance with applicable law and the terms presented at the time of purchase or renewal.

10. User Content and Inputs

Praevue may allow you to enter, upload, submit, store, or generate information, including scenarios, assumptions, notes, documents, watchlists, portfolio-related inputs, trading ideas, settings, preferences, and other materials (“User Content”).

You retain ownership of your User Content. However, by using Praevue, you grant us a limited license to access, process, store, transmit, analyze, and display your User Content as necessary to provide, maintain, secure, and improve Praevue.

You are solely responsible for your User Content and for ensuring that you have the necessary rights and permissions to submit it.

You agree not to upload or submit content that is unlawful, misleading, harmful, infringing, confidential without authorization, or otherwise violates the rights of any third party.

11. Intellectual Property Rights

Praevue, including its software, design, source code, databases, algorithms, user interface, branding, logos, trademarks, text, graphics, dashboards, reports, workflows, models, and platform features, is owned by or licensed to Praevue and is protected by intellectual property laws.

You are granted a limited, revocable, non-exclusive, non-transferable license to access and use Praevue for your personal or internal business purposes, subject to these Terms of Service.

You may not copy, reproduce, modify, distribute, sell, license, reverse engineer, scrape, decompile, or create derivative works from Praevue without our prior written permission.

12. Mobile Application License

If you access Praevue through a mobile application, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the mobile application on devices that you own or control.

You may not reverse engineer, modify, copy, distribute, sell, rent, sublicense, or misuse the mobile application.

If the app is downloaded through the Apple App Store or Google Play Store, your use of the app may also be subject to the applicable app store terms and policies.

13. Prohibited Activities

You agree not to:

a. Use Praevue for any unlawful purpose.

b. Use Praevue as a substitute for professional financial, legal, or tax advice.

c. Misrepresent Praevue outputs as guaranteed results or financial recommendations.

d. Scrape, copy, or systematically extract platform data.

e. Reverse engineer or attempt to access Praevue source code.

f. Use bots, scripts, or automated tools without authorization.

g. Interfere with platform security or performance.

h. Upload malicious code, viruses, or harmful files.

i. Use Praevue to build a competing product.

j. Share your account with unauthorized users.

k. Violate third-party rights or applicable laws.

l. Attempt to manipulate, overload, or abuse Praevue systems.

14. Third-Party Data and Services

Praevue may rely on third-party data providers, APIs, AI providers, cloud infrastructure, payment processors, analytics tools, authentication providers, and other external services.

Praevue does not control third-party data sources and does not guarantee that third-party information will be accurate, complete, current, uninterrupted, or error-free.

Market data may be delayed, incomplete, adjusted, unavailable, or incorrect. You are responsible for verifying all information through independent sources before making decisions.

15. Platform Availability and Modifications

Praevue may modify, suspend, discontinue, or restrict any part of the platform at any time.

We do not guarantee that Praevue will be available without interruption, delay, error, security issue, or data loss.

We may perform maintenance, updates, or changes that affect access to the platform.

16. Privacy Policy

Your use of Praevue is also governed by our Privacy Policy, which explains how we collect, use, store, and protect personal information.

By using Praevue, you agree to the practices described in our Privacy Policy.

17. Termination

These Terms of Service remain in effect while you use Praevue.

We may suspend or terminate your access at any time if we believe you have violated these Terms of Service, created risk, misused the platform, failed to pay applicable fees, or used Praevue in a way that may harm us, other users, or third parties.

You may stop using Praevue at any time. Termination does not remove your obligation to pay any outstanding fees or comply with provisions that survive termination.

18. Disclaimer of Warranties

Praevue is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Praevue disclaims all warranties, express or implied, including warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, non-infringement, availability, and security.

We do not warrant that Praevue will meet your expectations, produce specific outcomes, be error-free, or operate without interruption.

19. Limitation of Liability

To the fullest extent permitted by law, Praevue and its owners, directors, officers, employees, contractors, partners, affiliates, and agents shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages arising from or related to your use of Praevue.

This includes, but is not limited to, trading losses, investment losses, lost profits, lost revenue, lost data, business interruption, reliance on AI-generated content, reliance on market data, platform downtime, or decisions made based on Praevue outputs.

20. Indemnification

You agree to defend, indemnify, and hold harmless Praevue and its owners, directors, officers, employees, contractors, partners, affiliates, and agents from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from your use of Praevue, your violation of these Terms of Service, your User Content, your violation of law, or your violation of any third-party rights.
